Terms of Use

The terms that govern your access to and use of ConceptMem, operated by LumenLabs Development. Creating an account means you accept them.

Acceptance of these terms

These Terms of Use (“Terms”) are a contract between you and LumenLabs Development LTDA (CNPJ 48.155.438/0001-75) (“LumenLabs,” “we,” “us”), governing access to and use of ConceptMem — the website, console, HTTP API, SDK, and MCP server (together, the “Service”). By creating an account, or otherwise accessing the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not create an account or use the Service.

The Service

ConceptMem consolidates observations submitted by you or your connected agents into governed, queryable memory, subject to the ontology and policy configured for your workspace. The Service is provided on an evolving basis: features, limits, and the underlying implementation may change, and functionality described on the website is illustrative of intended behavior, not a guarantee for every configuration.

Accounts and eligibility

  • You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.
  • You must provide accurate information and keep your account credentials confidential.
  • You are responsible for all activity that occurs through your account and API keys.
  • Notify us promptly at maximiliano.veiga@lumenlabs.dev if you suspect unauthorized use of your account.
  • You may create an account for an organization; in that case you represent that you have authority to bind that organization to these Terms.

Acceptable use

You agree not to:

  • Use the Service to store or process data you do not have the right to submit, including personal data of others collected unlawfully.
  • Attempt to circumvent ontology, policy, or access controls, or to access another workspace without authorization.
  • Interfere with or disrupt the integrity or performance of the Service, including through excessive automated requests.
  • Reverse engineer the Service except to the extent applicable law expressly permits.
  • Use the Service to build a competing product by systematically extracting its non-public design or source.
  • Use the Service for any unlawful purpose, or to store or transmit malicious code.

Your content and data

You retain ownership of the observations, entities, facts, relations, and other data you or your agents submit to a workspace (“Workspace Content”). You grant LumenLabs a worldwide, non-exclusive license to host, store, process, and transmit Workspace Content solely to provide, maintain, and support the Service, including sending relevant content to an LLM provider you or your workspace has configured.

You are responsible for the accuracy, legality, and appropriateness of Workspace Content, including having a lawful basis to record any personal data about third parties. We may remove or suspend access to content that violates these Terms or applicable law.

Third-party services

The Service can be configured to call third-party LLM providers (such as OpenAI, Anthropic, or Google) or to connect to clients over the Model Context Protocol. Your use of those integrations is also subject to the third party’s own terms, and LumenLabs is not responsible for their acts, omissions, availability, or output.

Fees and changes to the Service

The Service, or parts of it, may currently be offered free of charge or in a beta or preview state. We may introduce, change, or discontinue paid plans, features, or usage limits at any time. Where we introduce fees for functionality you already use, we will give reasonable advance notice before charging you.

Intellectual property

The Service, including its software, design, and the ConceptMem and LumenLabs names and marks, is owned by LumenLabs or its licensors and protected by intellectual property laws. Except for the limited right to access and use the Service under these Terms, no rights are granted to you in our intellectual property.

Suspension and termination

You may stop using the Service and close your account at any time by contacting maximiliano.veiga@lumenlabs.dev. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the security or integrity of the Service. Upon termination, your right to use the Service ends; we handle Workspace Content on termination as described in our Privacy Policy.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT CONSOLIDATION, RETRIEVAL, OR LLM-ASSISTED OUTPUT WILL BE ACCURATE OR COMPLETE. YOU ARE RESPONSIBLE FOR VERIFYING OUTPUT BEFORE RELYING ON IT FOR CONSEQUENTIAL DECISIONS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMENLABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) 100 BRL. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to indemnify and hold LumenLabs harmless from claims, damages, and expenses (including reasonable legal fees) arising from your Workspace Content, your breach of these Terms, or your violation of applicable law or a third party’s rights.

Governing law and disputes

These Terms are governed by the laws of Brazil, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Service will be submitted to the courts of the district of LumenLabs’s registered office in Brazil, unless applicable consumer- protection law gives you the right to bring a claim elsewhere.

Changes to these Terms

We may update these Terms as the Service evolves. We will update the “Last updated” date above and, for material changes, provide additional notice. Continuing to use the Service after changes take effect means you accept the updated Terms.
